Important: These Terms govern your use of the Ordering.Tools technology platform. Ordering.Tools is a software platform provider only. Reservation Ltd. is not a party to any transaction between customers and restaurant operators. Restaurant operators are independent businesses solely responsible for their products, services, and operations.
1. Definitions
“Ordering.Tools” or “the Platform” refers to the online ordering and restaurant management software platform accessible at ordering.tools and associated domains, operated by Reservation Ltd.
“Reservation Ltd.” (also referred to as “we”, “us”, or “our”) is the company that develops and provides the Platform.
“Restaurant Operator” or “Merchant” means any business, individual, or entity that has subscribed to the Platform to manage and receive orders from their customers.
“Customer” or “End User” means any person who accesses a restaurant ordering page powered by the Platform to browse menus, place orders, or interact with a Restaurant Operator's digital presence.
“Platform Services” means the technology, software, and infrastructure provided by Reservation Ltd. to facilitate digital menus, online ordering, and related management tools.
2. Nature of the Platform
Ordering.Tools is a technology platform. Reservation Ltd. provides software tools that enable Restaurant Operators to create digital menus and receive online orders from their customers.
Reservation Ltd. is not a restaurant, food provider, delivery service, or marketplace. We do not prepare, sell, supply, or deliver any food, beverages, or goods. We do not employ or engage any delivery drivers, couriers, or other service personnel.
Reservation Ltd. is not an agent, representative, or partner of any Restaurant Operator. Restaurant Operators are fully independent businesses that use our technology in accordance with these Terms of Use, which constitute the binding agreement between Reservation Ltd. and any Restaurant Operator upon registration and use of the Platform.
When a Customer places an order through a restaurant's ordering page, the legal contract for that transaction is formed exclusively between the Customer and the Restaurant Operator. Reservation Ltd. is not a party to that contract under any circumstances.
3. Restaurant Operator Responsibilities
Restaurant Operators who use the Platform are solely and exclusively responsible for:
- The accuracy, completeness, and legality of all menu items, descriptions, prices, allergen information, and any other content displayed on their pages.
- The preparation, quality, safety, and hygiene of all food and beverages.
- Fulfilling orders, including delivery, pickup coordination, and dine-in service.
- Compliance with all applicable food safety, hygiene, licensing, trading standards, data protection, and consumer protection laws in their jurisdiction.
- Handling customer complaints, refunds, and disputes relating to orders, food quality, or their services.
- Protecting and managing Customer personal data collected through their ordering pages in accordance with applicable data protection laws (including GDPR where applicable).
- Providing their own terms and conditions and privacy policy to Customers as required by law.
- All tax obligations arising from sales made through their ordering pages.
Reservation Ltd. does not supervise, monitor, or control the business practices of Restaurant Operators and makes no warranties or representations about the quality, safety, suitability, or legality of any Restaurant Operator's products or services.
4. Customer Acknowledgements
By using a restaurant ordering page powered by the Platform, Customers acknowledge and agree that:
- They are transacting directly with the Restaurant Operator, not with Reservation Ltd.
- Any issues with orders — including incorrect items, late delivery, missing items, food quality, or refunds — must be resolved directly with the Restaurant Operator.
- Reservation Ltd. has no ability to cancel, modify, or fulfil orders placed with Restaurant Operators.
- Reservation Ltd. does not guarantee the availability, accuracy, or quality of any product or service offered by a Restaurant Operator.
- Any personal data they provide (name, email, phone number, delivery address) is shared directly with the Restaurant Operator, who is the data controller for that data.
5. Customer Accounts
Customers may optionally create an account on a restaurant's ordering page to save their preferences and order history. By creating an account:
- You agree to provide accurate and complete information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You understand that your account data is accessible to the Restaurant Operator whose platform you registered on.
- You may request deletion of your account at any time. See our Privacy Policy for details on the right to erasure.
Accounts are created on a per-restaurant basis. Reservation Ltd. stores account data solely to provide the ordering functionality on behalf of the Restaurant Operator (as a data processor).
6. Payments
Where online payments are enabled, payment processing is handled by third-party payment processors (such as Stripe, MyPOS, or other providers configured by the Restaurant Operator).
Reservation Ltd. does not collect, store, or process payment card data. All payment transactions are processed directly between the Customer and the payment processor.
In the event of a failed payment, incorrect charge, or dispute, Customers should contact the Restaurant Operator directly. Payment processor terms and conditions apply.
Reservation Ltd. is not liable for any losses arising from payment processing errors, fraud, or unauthorized transactions facilitated through third-party payment systems.
7. Allergen and Dietary Information
Allergen and dietary information displayed on ordering pages is provided entirely by Restaurant Operators. Reservation Ltd. does not verify, validate, or guarantee the accuracy of any allergen, nutritional, or dietary information.
Customers with food allergies or dietary requirements should always contact the Restaurant Operator directly before placing an order to verify the suitability of any items. Reservation Ltd. accepts no liability for allergic reactions, dietary issues, or health consequences arising from the consumption of food or beverages ordered through the Platform.
8. Intellectual Property
The Ordering.Tools Platform, including its software, design, trademarks, and branding, is owned by Reservation Ltd. and is protected by intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Platform without our express written permission.
Content uploaded by Restaurant Operators (menus, images, descriptions) remains the property of the respective Restaurant Operator. Reservation Ltd. does not claim ownership of such content.
9. Availability and Accuracy
Reservation Ltd. makes reasonable efforts to maintain Platform availability but does not guarantee uninterrupted or error-free service. The Platform may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control.
We do not warrant that the Platform will be free of errors, viruses, or other harmful components. Use of the Platform is at your own risk.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Reservation Ltd. shall not be liable for:
- Any act or omission of a Restaurant Operator, including but not limited to food quality, order accuracy, delivery failure, hygiene, or customer service.
- Any loss or damage arising from a Customer's reliance on information provided by a Restaurant Operator through the Platform.
- Indirect, consequential, special, incidental, or punitive damages of any kind.
- Loss of profits, loss of revenue, loss of data, or business interruption.
- Any claim arising from a Restaurant Operator's handling of Customer personal data.
- Losses arising from third-party payment processing or financial transactions.
- Any failure or delay caused by events beyond our reasonable control (force majeure).
Where liability cannot be fully excluded by law, our total aggregate liability to any party shall not exceed the greater of: (a) the total subscription fees paid by the relevant Restaurant Operator to Reservation Ltd. in the preceding three (3) months, or (b) one hundred euros (€100).
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
Restaurant Operators agree to indemnify, defend, and hold harmless Reservation Ltd. and its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of or related to:
- Their use of the Platform.
- Any content they publish on the Platform.
- Their products, services, or operations.
- Their violation of these Terms or applicable laws.
- Any claim brought by a Customer arising from their products or services.
- Their handling of Customer personal data.
12. Third-Party Links and Services
The Platform may contain links to third-party websites or integrate with third-party services. Reservation Ltd. does not control and is not responsible for the content, privacy practices, or availability of any third-party services. Use of third-party services is at your own risk and subject to their respective terms and policies.
13. Modifications
Reservation Ltd. reserves the right to update or modify these Terms at any time. We will provide reasonable notice of material changes by updating the effective date at the top of this page. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Bulgaria and, where applicable, the law of the European Union. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bulgaria, except where mandatory consumer protection laws applicable in your country of residence provide otherwise.
EU residents benefit from any mandatory consumer protection rights granted under the law of their member state, which these Terms do not override.
